2. Exemption from certain provisions of the Act

Sub-section (2) (g), (3), (4) and (6) of section 7, and section 8, 22, 23 and 24 shall not apply, as the case may be-

   (a)    to a contractor who is awarded a contract; or

   (b)    to any other person who awards a tender;

for a development project which is financed by an institution listed in the Schedule:

Provided that the contractor referred to in paragraph (a) shall comply with the requirement for registration under sub-section (1), paragraph (a), (b), (c), (d), (e) and (f) of sub-section (2) and sub-section (7) of section 7.

1. Title

These Regulations may be cited as the National Council for Construction (Contractors) (Codes of Conduct) Regulations, 2008.

2. Interpretation

In these Regulations, unless the context otherwise requires-

"Act"  means the National Council for Construction Act, 2003;

"contractor"  has the meaning assigned to it in the Act; and

"council"  has the meaning assigned to it in the Act.

3. Application of Code

Every contractor shall be bound by the Code of Conduct set out in the Schedule to these Regulations.

CODE OF CONDUCT FOR CONTRACTORS

PART I
PROFESSIONAL CONDUCT

1.   Prohibition of undertaking works for unregistered contractor

   (1) A contractor shall not undertake, carry out or complete any construction works awarded in terms of competitive tender, quotation or to otherwise unless the contractor is registered under the Act.

   (2) A registered contractor shall not-

   (a)   undertake construction works for, or be sub-contracted by, an unregistered contractor;

   (b)   sub-contract any of the contractor's work to an unregistered contractor; or

   (c)   award to an unregistered contractor any construction works or portion of the works for any public sector contract awarded under a competitive tender, quotation or otherwise.

   (3) A person who contravenes this regulation is liable, upon conviction, to a fine not exceeding one hundred thousand penalty units or to imprisonment for a period not exceeding two years, or to both.

2. Contractor to undertake works in grade for which registered

   (1) A contractor shall not undertake any construction works in a category or grade in respect of which that constructor is not registered.

   (2) A person who contravenes this regulation is liable, upon conviction, to a fine not exceeding one hundred thousand penalty units or to imprisonment for a period not exceeding two years, or to both.

3.   Contractual obligations

   (1) A contractor shall carry out the construction works in accordance with the Act and the provisions and specifications of the contract under which the contractor is engaged.

   (2) A contractor shall disclose to the client at the earliest opportunity any material fact that may effect the undertaking, performance or timely completion of any works.

   (3) If the circumstances requiring disclosure are not known to the contractor prior to the acceptance of a contract, disclosure shall be made when the circumstances become known to the contractor.

   (4) The burden of disclosure rests on the contractor and the duty to disclose is a continuing duty which does not cease until the construction works are concluded.

   (5) A contractor shall avoid entering into any financial, social business or professional relationship, or acquiring any financial or personal interest, which may adversely affect the performance of a contractor or construction works.

   (6) A contractor shall not offer any gift or hospitality for any purpose related to a contract.

4. Contractors in public service

   (1) A person employed in the public service shall not tender for public contracts in a category connected with that person's employment in the public service.

   (2) A person who contravenes this regulation is liable, upon conviction, to a fine not exceeding 1,00,000 penalty units or to imprisonment for a period not exceeding two years, or to both.

5.   Treatment of employees

   (1) A contractor shall not discriminate against any employee, any member of the public or client in any manner.

   (2) A contractor shall not use any abusive language or derogatory remarks to an employee.

   (3) A contractor shall comply with the employment and labour law of Zambia.

6.   Conflict of interest

A contractor shall not establish a relationship with any person or party to the contract which may give rise to a conflict of interest.

7.   Acceptance of contract

A contractor shall only accept an appointment or contract if the contractor possesses the qualifications required and has suitable experience and ability for the works.

8. Avoidance of delay

   (1) A contractor shall plan a work schedule so that the construction works are undertaken efficiently and effectively in a timely and professional manner.

   (2) A contractor shall avoid delays and anything that might affect the quality of the works.

9. Health and environment safety

   (1) A contractor shall not expose the contractor's employees to an unsafe working environment.

   (2) A contractor shall provide appropriate safety clothing to the contractor's employees.

   (3) The safety clothing referred to under sub-regulations (2) includes-

   (a)   overalls;

   (b)   safety boots or gum boots;

   (c)   safety goggles or masks;

   (d)   gloves;

   (e)   helmets or similar protective hats; and

   (f)   safety belts.

   (4) A contractor shall provide a first aid kit on site.

   (5) A contractor shall station a competent first aider on site on a construction site.

   (6) A contractor shall provide hoarding to all building construction sites.

   (7) A contractor shall provide adequate sanitation facilities and safe drinking waste for the employees.

   (8) A contractor shall ensure that the construction operations are compliant with the Environmental Protection and Pollution Control Act.

   (9) A contractor shall observe and implement all the requirements in the malaria and HIV/AIDS clause in the contract document.

   (10) A contractor shall observe and implement malaria prevention and control methods on a camping site.

   (11) A person who contravenes this regulation is liable, upon conviction, to a fine not exceeding one hundred thousand penalty units or to imprisonment for a period not exceeding two years ,or to both.

10.   Keeping of records

A contractor shall keep and maintain relevant updated records and documentation on site.

11.   Assistance to officers

A contractor shall provide such information and assistance to an officer or member of staff of the Council as the Council may require for purposes of the Act.

12.   Foreign contractor

   (1) Except as otherwise provided by the Act, a foreign contractor shall not undertake any construction works unless the contractor is registered with the Council.

   (2) A person who contravenes this regulation is liable, upon conviction, to a fine not exceeding 1,00,000 penalty units or to imprisonment for a period not exceeding two years, or to both.

13.   Surrender of certificate after cancellation

   (1) A contractor whose certificate of registration is cancelled by the council under section 10 of the Act shall surrender the certificate of registration to the Council within 14 days of the cancellation.

   (2) A person who contravenes this regulation is liable, upon conviction, to a fine not exceeding 1,00,000 penalty units or to imprisonment for a period not exceeding two years, or to both.

14.   Responsibilities of profession

   (1) A contractor shall uphold the dignity and integrity of the office and endeavour to provide effective service to the parties.

   (2) A contractor shall keep current with principles, practices and developments that are relevant in the construction industry.

   (3) A contractor may publicise their expertise but shall not actively solicit appointment as a contractor.

   (4) An experienced contractor shall cooperate in the training of new contractors.

   (5) A contractor shall not make false or misleading representations in advertising.

   (6) For the avoidance of doubt, a contractor shall, prior to publishing an advertisement obtain written approval of the intended advertisement from the Council

PROFESSIONAL MISCONDUCT

15.   Professional misconduct

   (1) A contractor shall be guilty of professional misconduct if, in the course of practice , the contractor-

   (a)   contravenes the provisions of the Act or these Regulations;

   (b)   unlawfully disclosures or uses to the contractor's own advantage any information acquired in the course of professional work on behalf of a client;

   (c)   engages in conduct that is dishonest, fraudulent or deceitful;

   (d)   commits a criminal offence;

   (e)   engages in conduct that is prejudicial to the performance of contractual obligations;

   (f)   breaches the principles of this Code;

   (g)   encourages another person to breach or disregard the principles of this Code;

   (h)   attempts to influence unfairly, whether directly or indirectly, the award of a contract;

   (i)   obtains or attempts to obtain an appointment as a contractor by offering or paying monetary or other consideration or inducement to any person or by any other improper means;

   (j)   scouts for, or in any way solicits for, appointment as a contractor;

   (k)   attempts to supplant or discredit another contractor with a view to unfairly influencing an appointment; or

   (l)   conducts oneself dishonourably in connection with the work performed by that person as contractor.

16.   Reporting misconduct

   (1) Any person who has reasonable grounds to believe that a contractor has violated this Code may make a written complaint with details of the alleged misconduct to the Council.

   (2) A report of the alleged misconduct shall not be construed as a violation of this Code unless provided otherwise.

17.   Cancellation of registration

The Council shall cancel the registration of a contractor who is found guilty of professional misconduct.

These Regulations may be cited as the National Council for Construction (Forms and Fees) Regulations, 2009.

2. Prescribed forms

The form set out in the First Schedule shall be the prescribed forms for the purposes of sections 7 and 8 of the Act.

3. Prescribed forms

The fees set out in the Second Schedule shall be the prescribed fees for the matters mentioned therein.

4. Revocation of SI No. 32 of 2005

The National Council for Construction (Forms and Fees) Regulations, 2005, are hereby revoked.

2. All scrutiny and annual registration fees must be paid directly to the National Council for Construction.

3. Attach a separate sheet where space on the form is limited for additional information.

4. Copies of all certificates attached must be "Certified True Copies" and where applicable must be translated into the English language.

5. The penalty fees for late renewal is as follow: 25% of the annual registration fee, for January, the current year; the subsequent months will attract a 2% cumulative increment.

6. One of the directors of all construction companies should have attained formal training in a construction field.

7. All professionals declared by contractors to bear current and valid membership with their professional bodies.

8. Upgrading and renewal of contractors should be based on Continued Professional Development (CPD), expansion of business portfolio (in terms of turnover, equipment etc) and fulfilment of criteria in grade advancing to.

9. All applicants for upgrading should attach the previous National Council for Construction registration certificate.

SI 39 of 2015.

1. Title

These Regulations may be cited as the National Council for Construction (Registration of Projects) Regulations, 2015.

2. Interpretation

In these Regulations, unless the context otherwise requires-

"contractor"  means a person who, or body of persons which, undertakes to execute and complete construction works;

"Council"  means the National Council for Construction established under section 3 of the Act;

"domestic sub-contractor"  means a sub- contractor, other than a nominated sub-contractor, that the main contractor sub-contracts to carry out part of the works;

"employer"  means the client and sponsor or owner of the construction project;

"procuring entity"  has the meaning assigned to it in the Public Procurement Act, 2008;

"project"  has the meaning assigned to it in the Act; and

"Register of projects"  has the meaning assigned to it in the Act.

3. Application

These Regulations apply to public and private projects.

4. Application for registration of project

   (1) A person who is awarded a construction contract shall apply to the Council for the registration of the project within 14 days from the date of the contract.

   (2) A contractor under a sub-contract for a construction contract as a nominated or domestic sub-contractor shall apply to the Council for the registration of the project before the commencement of the construction work.

   (3) An application for the registration of a project shall be made in Form I set out in the First Schedule.

5. Request for information

The Council may request an applicant to submit information in relation to an application in Form II set out in the First Schedule.

6. Rejection of application for registration of project

   (1) The Council shall reject an application for the registration of a project if the applicant fails to meet the requirements of these Regulations.

   (2) The Executive Director shall, where the Council rejects an application, inform the applicant in Form III set out in the First Schedule.

7. Certificate of registration

The Council shall, where an applicant meets the requirements of these Regulations, issue a certificate of registration, within 14 days of the application, in Form IV set out in the First Schedule.

8. Suspension or cancellation of certificate of registration

   (1) The Council may suspend or cancel the certificate of registration of any project if-

   (a)   the contractor fails to pay the registration fee;

   (b)   the certificate of registration was obtained by fraud or false submission of any information or statement;

   (c)   the construction contract to which it relates is terminated;

   (d)   the contractor contravenes any provision of the Act;

   (e)   the contractor ceases to carry on business in the construction industry;

   (f)   the contractor undertakes work in a category other than the category in respect of which the contractor is registered; or

   (g)   the contractor is found guilty of professional misconduct.

   (2) The Executive Director shall, where the Council-

   (a)   intends to suspend or cancel the certificate of registration, notify the holder in Form V set out in the First Schedule; and

   (b)   suspends or cancels the certificate of registration, notify the holder in Form VI set out in the First Schedule.

   (3) The Executive Director shall, where the Council suspends or cancels the certificate of registration of a project, endorse the cancellation or suspension on the certificate of registration of the project.

9. Duplicate certificate of registration

An application for a duplicate certificate of registration shall be made in Form VII set out in the First Schedule.

10. Record of specified projects in register of projects

The Council shall record the details of a contractor whose construction contract is equivalent to K500,000.00 or above in the register of projects.

11. Report on status of project

The project manager of a project shall, within 30 days of-

   (a)   the issuance of a completion certificate relating to the project;

   (b)   the variation of the project;

   (c)   the cancellation or termination of the contract relating to the project;

submit to the Council a summary report on the status of the contract and the performance of the contract in Form VIII set out in the First Schedule.

12. Quarterly returns

A procuring entity shall submit to the Council a quarterly return specifying the construction contracts awarded by the procuring entity in that quarter.

13. Appeal

   (1) A person aggrieved with any decision of the Council may appeal to the Minister within 30 days of the receipt of the decision of the Council.

   (2) An appeal from the decision of the Council to the Minister shall be made in Form IX set out in the First Schedule.

14. General penalty

A person who contravenes a provision of these Regulations commits an offence and is liable, upon conviction, to a fine not exceeding two thousand five hundred penalty units or to imprisonment for a period not exceeding one year, or to both.

15. Prescribed fees

The fees specified in the Second Schedule are payable for an application for the registration of a project within the project values specified in that Schedule.

Terms and Conditions

1. The Applicant shall comply with the provisions of the National Council for Construction Act, No. 13 of 2003.

2. The applicant shall submit all the requested information and attach the following documentation:

   (a)   Letter of acceptance of offer to perfom works and the contract

   (b)   Power of Attorney

   (c)   Building permit (For buildings)

   (d)   Proof of payment of required fees (Receipt/Transfer/Deposit slip)

3. The application for registration of the project should be accompanied with a non-refundable registration fee

4. Payment should only be made directly at the NCC Head Office and Regional Offices or through the NCC Bank Account.

5. The applicant shall inform the Council, in writing, if the project is completed, varied in project value or completion period, is suspended or terminated.
